These Terms of Service ("Terms") govern your use of the Envel website at envel.co and our web application (collectively, the "Service"), operated by Envel ("we", "us", or "our"). Envel is an AI-powered code development platform.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
To use the Service, you must:
- Be at least 18 years of age, or the age of majority in your jurisdiction.
- Have the legal capacity to enter into a binding agreement.
- Not be prohibited from using the Service under applicable law.
Access to the Service is currently limited. Registration may require being on an approved whitelist or waitlist.
2. Account Registration and Security
To use the Service, you must create an account using either your email address (with one-time verification code) or Google OAuth sign-in.
You agree to:
- Provide accurate and complete information during registration.
- Keep your account credentials secure and not share them with others.
- Notify us immediately if you suspect unauthorized access to your account.
- Accept responsibility for all activity that occurs under your account.
We may suspend or terminate accounts that violate these Terms, are inactive for extended periods, or are associated with fraudulent or abusive activity.
3. Description of the Service
Envel is an AI-powered code development platform that provides:
- AI code analysis and editing: Using third-party AI models (including Anthropic Claude and OpenAI GPT) to analyze, generate, and modify source code.
- Project management: Tools for organizing code projects, branches, and workspaces.
- Third-party integrations: Optional connections to GitHub (for repository access), Slack (for team communication), and other services.
- Collaborative workspaces: Organization and workspace structures for team collaboration.
The specific features available may change over time as we develop and improve the Service.
4. Your Content
Ownership
You retain ownership of all code, content, and other materials you submit to the Service ("Your Content"). We do not claim ownership of Your Content.
License to Envel
By submitting Your Content to the Service, you grant us a limited, non-exclusive, worldwide license to use, process, store, and transmit Your Content solely for the purpose of providing and improving the Service. This includes processing Your Content through third-party AI models as described in our Privacy Policy.
Responsibility
You are solely responsible for Your Content and represent that:
- You have the right to submit it to the Service.
- It does not violate any third party's intellectual property rights, privacy rights, or other legal rights.
- It complies with all applicable laws and regulations.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights.
- Submit malicious code, malware, or content designed to disrupt or damage systems.
- Attempt to gain unauthorized access to the Service, other users' accounts, or our infrastructure.
- Use the Service to generate code for illegal purposes, including but not limited to malware, surveillance tools, or tools designed to cause harm.
- Circumvent any access controls, rate limits, or security measures.
- Resell, sublicense, or redistribute the Service without our written consent.
- Use automated means (bots, scrapers) to access the Service beyond what we explicitly provide through our APIs.
- Interfere with or disrupt the Service or the servers and networks connected to it.
We reserve the right to investigate and take appropriate action against violations, including suspending or terminating your account.
6. Third-Party Services and Integrations
The Service integrates with third-party services including GitHub, Slack, and AI model providers (Anthropic, OpenAI). Your use of these integrations is subject to each provider's own terms of service and privacy policy.
We are not responsible for the availability, accuracy, or practices of third-party services. You acknowledge that:
- Connecting third-party services grants Envel access to data as permitted by the scopes you authorize.
- AI-generated code and suggestions are provided as-is and should be reviewed before use.
- You are responsible for complying with the terms of any third-party service you connect to the Service.
7. AI-Generated Content
The Service uses AI models to generate code, suggestions, and other content. You acknowledge and agree that:
- AI-generated output may contain errors, bugs, or security vulnerabilities. You are responsible for reviewing and testing all AI-generated code before deploying it.
- AI-generated content is not guaranteed to be original, unique, or free from intellectual property claims.
- We do not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated output.
- Your code and project content may be sent to third-party AI providers (Anthropic, OpenAI) for processing. See our Privacy Policy for details.
8. Intellectual Property
Envel's Property
The Service, including its design, features, code, documentation, logos, and trademarks, is owned by Envel and protected by intellectual property laws. These Terms do not grant you any right to use Envel's trademarks, logos, or branding without our written consent.
Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
9. Electronic Communications
By creating an account, you consent to receive electronic communications from us, including:
- One-time verification codes for sign-in.
- Organization and workspace invitations.
- Service-related announcements and updates.
You agree that these electronic communications satisfy any legal requirement that communications be in writing.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Warranties regarding the accuracy, reliability, or completeness of AI-generated content.
- Warranties that the Service will be uninterrupted, secure, or error-free.
11. Limitation of Liability
To the maximum extent permitted by law, Envel and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, data, or business opportunities.
- Damages arising from your use of or inability to use the Service.
- Damages arising from AI-generated content, including code errors, security vulnerabilities, or intellectual property claims.
Our total liability for all claims arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.
12. Indemnification
You agree to indemnify and hold harmless Envel and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service.
- Your Content.
- Your violation of these Terms.
- Your violation of any third-party rights.
13. Dispute Resolution
Informal Resolution
Before filing any formal legal action, you agree to first contact us and attempt to resolve the dispute informally for at least thirty (30) days.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
Jurisdiction
Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.
14. Termination
By You
You may stop using the Service and request deletion of your account at any time by contacting us.
By Envel
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include violation of these Terms, abusive behavior, or extended inactivity.
Effect of Termination
Upon termination, your right to use the Service ceases immediately. We may delete your account data, including projects, branches, chats, and associated content. Data deletion is permanent and cannot be reversed.
15. Changes to These Terms
We may modify these Terms at any time. If we make material changes, we will notify you by updating the "Last updated" date at the top of this page and, where appropriate, through the Service interface.
Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
16. General Provisions
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Envel regarding the Service.
- Assignment: You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations freely.
